Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Bottari web app, API, documentation, and related services (collectively, the “Service”), operated by Open Rhapsody, Inc. (“Open Rhapsody,” “Bottari,” “we,” “us,” or “our”). By accessing or using the Service, or by joining our waitlist, you agree to these Terms and to the way Bottari handles data as described in our Privacy Policy. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.

1. Pre-Launch and Waitlist

The Service has not yet publicly launched. At this time, creating an account does not grant access to the full Service. Instead, registering automatically adds you to our waitlist, and we will use the contact information you provide to send you updates about the Service, early-access invitations, and related announcements.

By joining the waitlist or creating an account, you consent to receive these communications from us. You may opt out of marketing and update emails at any time using the unsubscribe link in those emails or by contacting us; we may still send you transactional or account-related messages. Waitlist registration does not guarantee that you will be granted access to the Service or that the Service will launch on any particular timeline, or at all. We may invite waitlisted users in any order and may add, change, or remove planned features before launch.

2. About the Service

Bottari stores memory derived from your product’s code, internal communications, documentation, product traffic and analytics, and similar sources, and uses that memory to recommend and automatically execute backlog items. The Service may store data you send directly and content from integrations you connect.

3. Eligibility and Accounts

You must be at least 13 years old to use the Service. You may need an account to access certain features. You agree to provide accurate account information, keep your login credentials secure, and notify us if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account, including actions taken by agents, apps, MCP clients, API clients, or team members you authorize.

4. OAuth, Integrations, and Clients

When you connect a third-party service, you authorize Bottari to access and process the information needed to provide that integration. You can revoke this access from within Bottari or from the connected provider. Your use of any third-party service remains subject to that third party’s own terms.

5. Your Data and Content

You retain your rights to the content you submit, store, or retrieve through the Service (“User Content”). You grant Bottari a limited license to host, process, index, summarize, display, transmit, and otherwise use User Content solely to provide, secure, support, and improve the Service. You represent that you have the rights and permissions necessary to submit User Content to Bottari and to allow us to process it under these Terms and our Privacy Policy.

AI model training. We will not use the data you submit to train AI models unless you explicitly opt in. We may collect and use de-identified, aggregated Usage Data to operate and improve the Service.

You are responsible for maintaining your own backups of your data. To the extent permitted by law, we are not responsible for any loss or alteration of data, and we do not guarantee that data will be stored permanently or retrieved completely.

6. Restricted and Sensitive Data

Do not use Bottari to store payment card numbers, bank account numbers, health records or other regulated health data, government-issued identifiers (such as Social Security, passport, or national ID numbers), dates of birth, passwords, private keys, seed phrases, or other unrelated access credentials. Bottari is not designed to process PCI DSS cardholder data, regulated health data, or other data requiring a separate written compliance agreement. You are responsible for keeping such sensitive information out of the Service.

You acknowledge that the Service ingests source code, internal communications, documentation, and similar materials that may inadvertently contain secrets or sensitive data (for example, API keys or credentials embedded in code). You agree to use reasonable efforts to identify and remove such information before submitting it to the Service. To the extent any restricted or sensitive data is nonetheless included in your User Content, you remain solely responsible for it, and Open Rhapsody, Inc. has no liability arising from its presence in the Service.

7. Acceptable Use

You agree not to use the Service to:

  • violate any law or infringe the rights of others;
  • transmit malware, abusive content, or content that exploits minors;
  • impersonate others or misrepresent your authority;
  • access another user’s account, memory, workspace, or integrations without permission;
  • probe, scan, overload, interfere with, or circumvent security or rate limits;
  • scrape third-party services or use integrations in a way that violates their terms; or
  • rely on outputs as a substitute for professional legal, medical, financial, or safety advice.

8. License and Restrictions

Subject to these Terms, we grant you and the members you authorize a limited, non-exclusive, non-transferable, non-sublicensable license to use the Service for your internal business purposes only. You may not:

  • copy, modify, translate, or create derivative works of the Service or documentation without authorization;
  • reverse engineer, decompile, or attempt to extract source code, except to the extent permitted by law;
  • use the Service to train an AI model that competes with Bottari, or to develop a competing product or service, without our written approval; or
  • share account credentials with, or provide the Service to, unauthorized third parties.

Violation of this section may result in suspension or termination.

9. AI Outputs and Memory Quality

Bottari uses retrieval, embeddings, model calls, and deterministic database logic to store and recall memory. Outputs may be incomplete, outdated, or incorrect. You are responsible for verifying important information before relying on it. We do not guarantee that memory will always be recalled, summarized, ranked, or interpreted correctly.

10. Intellectual Property

Bottari IP. The Service, documentation, software, algorithms, UI, workflows, and all other technology and source code we provide, along with any improvements and derivatives, are the exclusive property of Open Rhapsody, Inc.

Your content and outputs. As between you and us, you own the prompts and code you input and, to the extent permitted by law, the outputs Bottari generates from them.

11. Privacy

Our Privacy Policy describes what we collect, how we use it, who receives it, and our retention, deletion, and your control. By using the Service, you agree that we may process data as described in that policy. We take commercially reasonable security measures, but no method of transmission or storage over the internet is completely secure, and we cannot guarantee absolute security.

12. Subscriptions and Payment

When the Service becomes available, paid plans, trials, renewal terms, usage limits, and pricing will be shown at checkout or in the product. Unless stated otherwise, subscriptions automatically renew until canceled. You authorize us and our payment processors to charge the payment method you provide. Taxes may apply. Fees are non-refundable except where required by law or where we state otherwise in writing. We may change pricing or plan features with reasonable notice.

13. Service Changes and Availability

We may add, change, suspend, or remove features, and we may set limits on usage, storage, integrations, or access where needed to operate the Service or protect other users. We try to avoid breaking changes without notice, but the Service is still evolving, and developer-facing behavior may change as model providers and connected platforms change. Unless covered by a separate order form or custom agreement, the Service is provided “as is,” with no guarantee of quality, reliability, or availability.

14. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create a risk to the Service or other users, fail to pay fees, or where required by law. We may suspend the Service without prior notice if we detect an attack or threat to our systems, a security risk to other customers, unlawful use, or if your organization enters bankruptcy proceedings.

After an account is closed, we handle deletion and retention as described in our Privacy Policy. Provisions that by their nature should survive termination — including ownership, payment obligations, disclaimers, limitation of liability, indemnification, and dispute provisions — will continue to apply.

We do not guarantee that the Service will be uninterrupted, error-free, permanently stored, fully retrievable, or that outputs will meet your requirements.

15. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

16. Limitation of Liability

To the fullest extent permitted by law, Open Rhapsody, Inc. and its affiliates, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, business interruption, or goodwill.

To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid to Bottari in the 12 months before the event giving rise to the claim.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Open Rhapsody, Inc. and its affiliates, employees, and contractors from any claims, damages, liabilities, and expenses arising out of your User Content, your use of the Service, or your violation of these Terms or applicable law.

18. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Republic of Korea, without regard to its conflict-of-laws rules. You and Open Rhapsody, Inc. agree to submit to the exclusive jurisdiction of the Seoul Central District Court (서울중앙지방법원) for the resolution of any such dispute.

19. Changes to These Terms

We may update these Terms as the Service changes. If a change is material, we will update the date on this page and provide additional notice where appropriate. Continuing to use the Service after the effective date means you agree to the updated Terms.
